In his wide-ranging business planning and corporate transactions practice, Hays McQueen counsels clients on mergers, acquisitions, entity formations and dissolutions, public and commercial financing and contractual negotiations. In addition to advising national and international companies on a variety of issues, he helps Georgia-based businesses use the state’s corporate entity and tax laws to get the most financial value in deals.

Hays handles economic development and public financing opportunities for local and statewide projects through his representation of government and quasi-governmental organizations in addition to his private-entity clients, who are engaged in many industries including insurance, financial services, healthcare and manufacturing among others. When the businesses he represents are ready to enter a new stage—such as growing, merging, selling off assets, or preparing to go public—he helps them strategically plan their next steps.

In addition, Hays assists high-wealth family businesses and other company owners in passing along their businesses to the next generation or crafting other types of succession plans. In these matters, he works closely with the firm’s tax, accounting, financial advising and estate planning professionals to protect personal, family and business interests, both immediately and down the road.

Hays’ prior experience in commercial litigation boosts his ability to minimize client liability and identify and mitigate potentially problematic issues. Although he currently serves as a legal and business advisor rather than a courtroom advocate, he occasionally counsels clients involved in the early stages of conflicts. In this capacity he helps devise practical resolutions that align with the business goals of his clients.

Whether representing a small “mom-and-pop” enterprise or a multimillion-dollar corporation, Hays is always highly invested in defending and furthering his clients’ interests. Taking a hands-on approach, he meets with them to gain an in-depth understanding of their operations, concerns, values and goals. After Hours

Hays and his wife stay busy with their two young sons in sports and other activities. They do a lot of local traveling as a family, such as going to the mountains or the beach. In addition to watching football, and playing golf, Hays enjoys reading—particularly historical fiction set in the World War II era.
